Prezados Senhores,<\/p>\n

1. Fazemos refer\u00eancia ao vosso Of\u00edcio n\u00ba 317\/2016 – CVM\/SEP\/GEA-2 (“Of\u00edcio”), que menciona decis\u00e3o proferida pelo Tribunal Regional Federal da Primeira Regi\u00e3o estabelecendo medidas cautelares ao Sr. Carlos Augusto Borges, administrador da Companhia, e solicita esclarecimentos sobre a referida decis\u00e3o, em especial quais os motivos pelos quais a Companhia entendeu n\u00e3o se tratar o assunto de Fato Relevante, nos termos da Instru\u00e7\u00e3o CVM n.\u00ba358\/2002.<\/p>\n

2. Trata-se de decis\u00e3o cautelar relativa \u00e0 averigua\u00e7\u00e3o de fatos relativos a um membro do Conselho de Administra\u00e7\u00e3o da Companhia, da qual esta tomou conhecimento por meio de not\u00edcias esparsas divulgadas na m\u00eddia, n\u00e3o tendo sido, at\u00e9 o momento, formalmente intimada da mesma.<\/p>\n

3. Entretanto, n\u00e3o obstante a Companhia n\u00e3o tenha sido formalmente intimada, o Conselho de Administra\u00e7\u00e3o decidiu, em reuni\u00e3o realizada no dia 05\/09\/16 (disponibilizada nesta data pelo sistema Empresas.Net e, portanto, dentro do prazo previsto no artigo 30 da Instru\u00e7\u00e3o CVM no 480, alterada pela Instru\u00e7\u00e3o no 552), considerando a ampla divulga\u00e7\u00e3o da referida decis\u00e3o em m\u00eddia, reconhecer o impedimento tempor\u00e1rio do Sr. Carlos Augusto Borges para o exerc\u00edcio da fun\u00e7\u00e3o de
\nconselheiro da Companhia.<\/p>\n

4. A Companhia entende que o afastamento imediato do referido conselheiro \u00e9 medida suficiente \u00e0 preserva\u00e7\u00e3o, neste momento, dos interesses da Companhia e de seus stakeholders e n\u00e3o divulgou Fato Relevante sobre a referida decis\u00e3o judicial porquanto, em seu entendimento, ela n\u00e3o possui o cond\u00e3o de influir de modo ponder\u00e1vel: na cota\u00e7\u00e3o dos valores mobili\u00e1rios de emiss\u00e3o da companhia aberta ou a eles referenciados, na decis\u00e3o dos investidores de comprar, vender ou manter aqueles valores mobili\u00e1rios ou na decis\u00e3o dos investidores de exercer quaisquer direitos inerentes \u00e0 condi\u00e7\u00e3o de titular de valores mobili\u00e1rios emitidos pela companhia ou a eles referenciados. Sendo o que tinha para o momento, a Companhia se coloca \u00e0 disposi\u00e7\u00e3o para prestar quaisquer informa\u00e7\u00f5es adicionais que se fa\u00e7am necess\u00e1rias.<\/p>\n
