MATERIAL FACT

Guarulhos, October 05, 2015 – INVESTIMENTOS E PARTICIPAÇÕES EM INFRAESTRUTURA S.A. – INVEPAR (“INVEPAR”) and CONCESSIONÁRIA DO AEROPORTO INTERNACIONAL DE GUARULHOS S.A. (“GRU Airport”) inform their shareholders and the market in general, pursuant to paragraph 4 of article 157 of Law 6,404, of December 15, 1976, (“Brazilian Corporate Law”) and CVM Instruction 358, of January 3, 2002, (“ICVM 358”), that the negotiation to sell ten percent (10%) of the shares held by INVEPAR in the capital stock of Aeroporto de Guarulhos Participações S.A. (“GRUPar”) to Airports Company South Africa SOC Limited (“ACSA”) is in its final stage.

As established in the Invitation to Bid no. 02/2011 of Brazil‘s National Civil Aviation Agency (“ANAC”), the bids had to include the participation of an airport operator with previous experience in airport management. As a result, INVEPAR and ACSA formed a consortium to participate in the bid held on February 6, 2012.

As part of the terms for the establishment of said consortium, INVEPAR granted ACSA stock options. Consequently, this purchase and sale negotiation results from the exercise of this right, pursuant to the Memorandum of Understanding entered into between the parties on January 30, 2012.

As a result of this transaction, when concluded, the capital stock of GRUPar, the company that owns fifty-one percent (51%) of GRU Airport‘s capital stock, will be divided as follows: eighty percent (80%) held by INVEPAR and twenty percent (20%) held by ACSA.

INVEPAR and GRU Airport will keep the market informed on possible developments from the events herein.
