Shareholders Composition

With the signing of the Concession Contract in June 14, 2012, the concessionaire Concessionária do Aeroporto Internacional de Guarulhos S.A was formed – with 51% of shares belonging to Grupar (Grupo Invepar and ACSA) and 49% to Infraero. Of the 51% that belong to the private initiative, Invepar holds 80% and ACSA 20%.

Until June 2032, the Concessionaire will be responsible to manage and operate the largest airport in Brazil. During this period, Grupar’s main role is to be the controlling partner of the Concessionaire responsible for the expansion, maintenance and commercial use of the airport‘s infrastructure, according to the terms set by the Concession Contract.

TRANSITION PROCESS

As determined by the Concession Contract, the Concessionaire implemented an Operational Transfer Plan (PTO), approved by Anac (National Department of Civil Aviation), in order to ensure the safe and efficient transfer of operational responsibilities from Infraero to the new management and maintain daily airport operations running smoothly.

Thus, in August 2012, the assisted airport operations phase began, in which Infraero remained responsible for operations while the Concessionaire assisted. After 90 days, on November 15, 2012, the Concessionaire took over operations and Infraero assisted for 90 days. During this phase, the Concessionaire´s R$ 4.5 billion* investment plan began, of which R$ 3.52 billion were invested by September 2014.

With the change in management on November 15, 2013, the Concessionaire created a new brand for the airport, GRU Airport – Aeroporto Internacional de São Paulo – in line with the international standard of important airports around the world.

During the first 3 months under new management, the number of parking spaces was increased, restrooms were renovated and all the signage replaced to improve passenger departure and arrival flows.

With the end of the transition phase on February 15, 2013, the Concessionária do Aeroporto Internacional de Guarulhos became the sole manager of the largest passenger terminal in Latin America. To meet growing demand, GRU Airport will undergo a modernization process focused on users’ comfort and safety. Among its main projects is the construction of a new passenger terminal TPS3 – in operation since May 11, 2014 – and the retrofit of Terminals 1 and 2, which began in October 2014 and is set to be completed by the second half of 2016.
