MATERIAL FACT

INVESTIMENTOS E PARTICIPACÕES EM INFRAESTRUTURA S.A. – INVEPAR (“INVEPAR”) and CONCESSIONÁRIA DO AEROPORTO INTERNACIONAL DE GUARULHOS S.A. (“GRU Airport”), pursuant to Brazilian Securities and Exchange Commission (“CVM”) Instruction 358 of January 3, 2002, as amended, hereby informs the market that it was served with a search and seizure warrant today at its headquarters and at the headquarters of its subsidiary Aeroporto de Guarulhos Participações S.A. (“GRUPAR”), the controller of GRU Airport. On the same date, the CEO of Invepar was served with a bench warrant to provide clarifications.

The warrants in question:
(i) refer solely to specific issues, including matters related to the shareholder OAS, which holds a 24.44% interest in Invepar; and
(ii) do not contain any reference to the concessions and activities of Invepar, Grupar and Invepar’s other subsidiaries.

The search and seizure was limited to the apprehension of three individual computers, certain memory units, the personal diaries of two group executives and various miscellaneous documents
